Zoose - Terms of Use

1. Welcome to Zoose

These Terms of Service ("Terms") govern your access to and use of the Zoose platform, including the website, mobile app, and all related features, including video and audio calling (collectively, the "Service"). By using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access or use the Service.

2. Intellectual Property Rights

The Service and all intellectual property rights therein, including but not limited to copyrights, trademarks, and patents, are the property of Zoose or its licensors. You are granted a non-exclusive, non-transferable license to use the Service in accordance with these Terms.

3. User Representations

  • You represent and warrant that you are:
  • At least 18 years old or of legal age to enter into a binding contract in your jurisdiction.
  • Using the Service for lawful purposes only.
  • Providing accurate information when registering for the Service.
  • Solely responsible for your conduct and all content you submit, post, or share on the Service.

4. User Registration

You are required to register for an account to access most features of the Service. You are responsible for maintaining the confidentiality of your account information, including your password. You agree to notify Zoose immediately of any unauthorized use of your account or any other security breach.

5. Prohibited Activities

You may not use the Service for any unlawful purpose or in any manner that interferes with or disrupts the Service or other users' enjoyment of the Service. This includes, but is not limited to:

  • Uploading, transmitting, or sharing content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, hateful, or racially or ethnically offensive.
  • Impersonating another person or entity, or misrepresenting your affiliation with a person or entity.
  • Soliciting or harassing other users.
  • Engaging in spamming or other unsolicited communications.
  • Interfering with or disrupting servers or networks connected to the Service.
  • Attempting to gain unauthorized access to the Service or any other account, computer system, or network.
  • Violating any applicable laws or regulations.
  • Using the Service for any commercial purposes without our express written consent.

6. Video and Audio Calling Features

  • **Technical Requirements:** You are responsible for ensuring you have a stable internet connection and compatible device with a camera and microphone for video and audio calling.
  • **Respecting User Privacy:** Respect other users' privacy during video calls. You are prohibited from recording, sharing, or transmitting video or audio calls without the express consent of all participants.
  • **Inappropriate Use:** You are prohibited from using the video and audio call features for any illegal or inappropriate activities, including but not limited to:
    • Making unwanted sexual advances or engaging in sexually suggestive behavior.
    • Exposing nudity or sexually suggestive content.
    • Threatening or harassing other users.
    • Violating intellectual property rights.
  • **Reporting Abuse:** You can report any misuse of the video and audio call features by contacting Zoose support.

7. User Generated Content

The Service may allow you to upload or share photos, videos, audio recordings, text, or other content ("User Content"). You are solely responsible for your User Content and represent that you have all necessary rights and permissions to upload and share it. By uploading or sharing User Content, you grant Zoose a non-exclusive, royalty-free, worldwide license to use, modify, reproduce, distribute, display, and perform your User Content in connection with the Service and for promotional purposes. You can revoke this license at any time by deleting your User Content from the Service.

8. Disclaimers

The Service is provided "as is" and without warranties of any kind, express or implied. We disclaim all warranties, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the uninterrupted or error-free operation of the Service. WE WILL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM THE USE OF THE SERVICE, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, DATA LOSS, BUSINESS INTERRUPTION, OR PERSONAL INJURY.

9. Term and Termination

We may terminate your access to the Service for any reason, at any time, without notice. You may terminate your account at any time.

10. Additional Terms

  • These Terms constitute the entire agreement between you and us regarding your use of the Service.
  • We may modify these Terms at any time by posting the revised Terms on the Service. You are expected to check this page regularly to be aware of any changes, as your continued use of the Service signifies your agreement to the revised Terms.
  • If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
  • These Terms of Service shall be governed by and construed in accordance with the laws of the state where Zoose is registered, without regard to its conflict of law provisions.

Mobile Application License Agreement

Grant of License

If you access the Zoose website (the "Site") via our mobile application (the "App"), we grant you a revocable, non-exclusive, non-transferable, limited right to:

  • Install and use the App on wireless electronic devices you own or control.
  • Access and use the App on such devices strictly in accordance with these Terms of Service.

Restrictions on Use

You agree not to:

  • Deconstruct, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the App.
  • Make any modification, adaptation, improvement, enhancement, translation, or derivative work from the App.
  • Violate any applicable laws, rules, or regulations in connection with your access or use of the App.
  • Remove, alter, or obscure any proprietary notice (including any copyright or trademark notice) posted by us or the licensors of the App.
  • Use the App for any revenue-generating endeavor, commercial enterprise, or other purpose not intended for the App.
  • Make the App available over a network or other environment permitting access or use by multiple devices or users simultaneously.
  • Use the App for creating a product, service, or software that competes with or substitutes for the App.
  • Use the App to send automated queries to any website or unsolicited commercial emails.
  • Use any proprietary information or intellectual property of ours in the design, development, manufacture, licensing, or distribution of applications, accessories, or devices for use with the App.

Apple and Android Devices

These terms apply if you obtain the App from the Apple App Store or Google Play (each an "App Distributor"):

  • The license granted to you is limited to a non-transferable license to use the App on a device that utilizes the Apple iOS or Android operating systems, as applicable, and in accordance with the usage rules set forth in the applicable App Distributor's Terms of Service.
  • We are responsible for providing maintenance and support services for the App as specified in these Terms of Service or as otherwise required by law. You acknowledge that the App Distributor has no obligation to provide any such services.
  • If the App fails to conform to any applicable warranty, you may notify the App Distributor, and they may, in accordance with their terms and policies, refund the purchase price, if any. To the maximum extent permitted by law, the App Distributor will have no other warranty obligation regarding the App.
  • You represent and warrant that you are not located in a country subject to a U.S. government embargo or designated by the U.S. government as a "terrorist supporting" country and are not listed on any U.S. government list of prohibited or restricted parties.
  • You must comply with applicable third-party terms of agreement when using the App, such as wireless data service agreements.
  • You acknowledge that the App Distributors are third-party beneficiaries of these Terms of Service and have the right to enforce them against you.

Social Media

The App may allow you to link your account with accounts you have with third-party service providers ("Third-Party Accounts"). You do this by either:

  • Providing your Third-Party Account login information through the App.
  • Allowing us to access your Third-Party Account, as permitted by the applicable Terms of Service governing your use of each Third-Party Account.

Submissions

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Site ("Submissions") you provide to us are non-confidential and become:

  • Our sole property.
  • We shall own exclusive rights, including all intellectual property rights, and be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.
  • You waive all moral rights to any such Submissions.
  • You warrant that any such Submissions are original with you or that you have the right to submit such Submissions.
  • You agree there shall be no recourse against us for any alleged or actual infringement or misappropriation of any proprietary right in your Submissions.

Third-Party Websites and Content

The App may contain links to other websites ("Third-Party Websites") and articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties ("Third-Party Content"). We do not:

  • Investigate, monitor, or check for accuracy, appropriateness, or completeness of Third-Party Websites or Third-Party Content.
  • Take responsibility for any Third-Party Websites accessed through the App or Third-Party Content posted on, available through, or installed from the App.

Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or Third-Party Content does not imply approval or endorsement by us.

If you decide to leave the App and access Third-Party Websites or use Third-Party Content, you do so at your own risk. These Terms of Service no longer govern your activity.

You should review the applicable terms and policies, including privacy and data gathering practices, of any website you navigate to from the App or relating to any applications you use or install from the App.

Advertisers

We allow advertisers to display their advertisements and other information in certain areas of the App.

  • If you are an advertiser, you take full responsibility for any advertisements you place on the App and any services provided on the App or products sold through those advertisements.
  • You warrant and represent that you possess all rights and authority to place advertisements on the App, including intellectual property rights, publicity rights, and contractual rights.

Site Management

We reserve the right, but not the obligation, to:

  • Monitor the App for violations of these Terms of Service.
  • Take appropriate legal action against anyone who violates the law or these Terms of Service.
  • Refuse, restrict access to, limit the availability of, or disable any of your user content or any portion thereof in our sole discretion.
  • Remove from the App or otherwise disable all files and content that are excessive in size or burdensome to our systems.
  • Otherwise manage the App in a manner designed to protect our rights and property and facilitate the proper functioning of the App.

Privacy Policy

We care about data privacy and security. Please review our Privacy Policy posted on the Site. By using the App, you agree to be bound by our Privacy Policy, which is incorporated into these Terms of Service.

Term and Termination

These Terms of Service shall remain in full force and effect while you use the App. We reserve the right to, in our sole discretion and without notice or liability:

  • Deny access to and use of the App (including blocking certain IP addresses) to any person for any reason or no reason.
  • Terminate your use or participation in the App or delete your account and any content or information that you posted at any time, without warning.

If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party.

In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including pursuing civil, criminal, and injunctive redress.

Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the App at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on the App.

We also reserve the right to modify or discontinue all or part of the App without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the App.

We cannot guarantee the App will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the App, resulting in interruptions, delays, or errors.

We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the App at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the App or by any other interruption or termination related to the App.

Severability

If any provision of these Terms of Service is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
